Agency Partner Terms

1. Who this agreement is between

These terms are between Steady Chasing Glory LLC, a Virginia limited liability company, trading as ChurnMiser ("ChurnMiser", "we"), and the agency that accepts them ("you", the "agency"). You accept them by ticking the acceptance box when you create your agency portal account, or by continuing in the programme after we notify you of a change (§11).

2. The programme

Agencies bring Shopify stores to ChurnMiser, either through the agency’s referral link at the time a store installs ChurnMiser, or with a one-time code a merchant enters inside the app. ChurnMiser pays the agency a commission on stores that qualify under §4. The agency portal is the record of what has been earned, what has become payable, and what has been paid.

3. Commission

The commission is $0.03 per included customer per month, for each qualifying client store on a paid ChurnMiser plan, for as long as that store remains an active, paying ChurnMiser customer. "Included customers" are the customers ChurnMiser bills the store for in a billing period. The commission is not funded by any markup to the store’s price.

4. Which stores qualify

A store qualifies when it links to your agency — through your referral link at install, or with a one-time code — within 24 hours of installing ChurnMiser. A store that was already a ChurnMiser customer when it linked never qualifies, however it linked.

Linking a store does not by itself give you access to that store’s analytics. The merchant grants that access separately, inside their app, and may withdraw it at any time. Withdrawing analytics access does not end commission on a qualifying store.

5. What ends commission on a store

Commission on a store ends when you remove the store from your portfolio; when the merchant declines your referral; when the store stops being a paying ChurnMiser customer; or when your participation ends under §10.

6. When commission becomes payable

Commission on a store for a billing period becomes payable only after Shopify has remitted that store’s charge for the period to ChurnMiser. Until then, the figures shown in the portal are estimates.

If Shopify later reverses all or part of a charge (for example a refund or a chargeback), the commission on it is reversed in the same proportion. If that commission has already been paid to you, the reversed amount is deducted from your next payout or payouts. We do not invoice reversals separately.

7. Payouts

Payable commission is paid monthly, on the 5th of the month (or the next business day), by bank transfer through Stripe to a payout account you set up through ChurnMiser’s Stripe onboarding in the portal. ChurnMiser bears Stripe’s payout fees.

The minimum payout is $25. A payable balance below the minimum rolls forward to the following month, without expiry, until it reaches the minimum. No payout is made until your Stripe onboarding is complete; your balance accrues in the meantime.

8. Independent contractor; taxes

You participate as an independent contractor. Nothing in these terms makes you an employee, partner, joint venturer or agent of ChurnMiser, and you may not bind ChurnMiser to anything. You are responsible for all taxes on commission paid to you. Tax information is collected, and any required tax forms issued, through Stripe.

9. Conduct

The following are prohibited:

• Referring a store that you own or control, directly or indirectly.
• Paying, rebating or otherwise inducing a merchant to install ChurnMiser.
• Misrepresenting ChurnMiser, its features, its pricing or this programme.
• Unsolicited bulk messaging or any form of spam to promote your link.

A breach forfeits commission that has not yet been paid to you and ends your participation in the programme.

10. Term and termination

Either of us may end your participation at any time by written notice (email is sufficient). Commission that has become payable under §6 but not yet been paid is paid at the next monthly run regardless of the minimum in §7. Commission that has not yet become payable follows its underlying charge: if Shopify remits it, it is paid; if not, it is not. ChurnMiser may suspend payouts to an agency while it investigates a suspected breach of §9.

11. Changes to the rate or these terms

We may change the commission rate or these terms on 30 days’ notice to the email address on your agency account. Commission already earned before a change takes effect is paid on the terms in force when it was earned. Continuing in the programme after the effective date of a change is acceptance of it.

12. No guarantee; limitation of liability

The programme is provided as is. ChurnMiser makes no promise about the number of stores that will link, qualify or remain customers, or about the amount you will earn. To the fullest extent permitted by law, ChurnMiser’s total liability to you in connection with the programme is limited to the commission that became payable to you in the twelve months before the claim arose, and neither of us is liable to the other for indirect or consequential loss.
